Vendor (Washerman) Agreement
Washermann Africa Ltd (RC: 9638703) ("Washermann") and the Vendor accepting this Agreement. Effective on acceptance at onboarding. Version date: September 1, 2026
1. Relationship — independent contractor
The Vendor is an independent contractor, not an employee, agent, or partner of Washermann. Nothing creates an employment, joint-venture, or agency relationship. The Vendor controls its own premises, staff, equipment, and methods, and is responsible for its own taxes, licences, and statutory obligations. The Vendor may set its own hours and service areas (subject to Platform coverage), may decline any order without penalty, and may provide services to other platforms and customers outside the Platform. The Vendor is paid a share of the price for each completed order, computed under §4, and not a wage, salary, or retainer.
2. Onboarding, verification & KYC
- The Vendor must provide accurate business details, valid identity/business documents, proof of address, photos, and bank account details for payouts.
- Washermann verifies (KYC) before activation and may suspend, reject, or revert verification at its discretion (e.g. incomplete or suspicious documents). Where Washermann suspends or reverts a Vendor's verification for reasons other than suspected fraud, the notice-and-response process in §9 applies.
- The Vendor must keep its information, availability, and service areas current.
3. Services & standards
The Vendor agrees to:
- accept, clean, and prepare garments to a professional standard and within communicated timeframes;
- log garment counts accurately at handover;
- handle customer garments and data with care and confidentiality;
- comply with the Platform's quality, hygiene, and conduct standards (as published to Vendors from time to time on the Platform), and applicable law.
4. Pricing & the platform economics
- The Vendor sets its own item prices via the Platform, subject to approval by Washermann. Prices take effect only once approved and may be locked for a defined period.
- For items the Vendor has not priced, if no comparator price exists, the Vendor will be paid Washermann's then-published floor rate for that item category, and never less than the direct cost the Vendor reasonably incurred to fulfil the order. The Vendor is strongly encouraged to price all items it offers to avoid reliance on this fallback.
- Customer-facing prices are set on the Platform in WashPoints. The Vendor's earning per order is the vendor share computed by the Platform from the logged garments and approved prices.
5. Customer-funds account, earnings & payouts
- Customer payment for an order is held in the segregated customer-funds (trust) account described in the WashPoints & Wallet Terms — ring-fenced from Washermann's operating funds — and the Vendor's share is released after the order is completed/confirmed (or auto-completed after the confirmation window).
- On release, the Vendor's share accrues to the Vendor's earnings wallet, denominated and payable in Naira.
- Washermann settles approved earnings to the Vendor's verified bank account on a regular payout schedule, and may, at its discretion, release an earlier payout on request with good reason. Payouts are subject to review, minimums, and anti-fraud checks. Washermann may withhold the amount reasonably in question, and only that amount, for up to [10] business days while it investigates, and will notify the Vendor of the reason and expected timeline. Amounts not found to be subject to a valid claim within that period are released. Washermann may reverse a payout already made only where the underlying claim is substantiated.
- Washermann may deduct its platform fee/commission as reflected in the order economics.
6. Loss, damage & liability
- The Vendor is responsible for garments in its possession and for loss or damage caused by its acts/omissions, subject to the caps and process in the Garment Liability & Care Terms.
- The Vendor will cooperate in good faith with claims and may bear the cost of substantiated claims attributable to it (by deduction from earnings or otherwise). Before deducting a substantiated claim from the Vendor's earnings, Washermann will notify the Vendor of the claim, the amount, and the evidence supporting it, and give the Vendor [5] business days to respond. If the Vendor does not dispute the claim, or the dispute is resolved against the Vendor under the Refund, Cancellation & Dispute Policy, Washermann may deduct the amount.
- The Vendor should maintain appropriate insurance.
7. Data protection
The Vendor processes customer personal data (name, address, contact, order details) only to fulfil orders, keeps it confidential and secure, does not use it for its own marketing, and complies with the NDPA. The Vendor acts as an independent data controller in respect of the personal data it receives to fulfil orders, and is independently responsible for its own NDPA compliance. Washermann and the Vendor will enter into the data-sharing terms in the Data Processing Agreement before the Vendor is activated.
8. Independent obligations
The Vendor is responsible for its taxes, business permits, employees, premises, and equipment, and will not represent itself as Washermann.
9. Suspension & termination
Washermann may suspend or deactivate a Vendor for breach, quality failures, fraud, or repeated disputes. Either party may terminate on notice. On termination, outstanding verified earnings (net of deductions) are paid out per the payout process; obligations relating to garments in progress, liability, confidentiality, and data survive. Except where Washermann reasonably suspects fraud, a safety risk, or serious misconduct (in which case it may suspend immediately), Washermann will give the Vendor written notice of the reason for a proposed suspension or deactivation and a reasonable opportunity to respond or remedy the issue before it takes effect. The Vendor may request internal review within [7] days.
10. Non-circumvention
During the relationship and for [12] months after its termination, the Vendor will not solicit a customer introduced to it through the Platform to transact off-Platform for the same or substantially similar services, for the purpose of avoiding Washermann's fees. This does not restrict the Vendor from serving a customer who independently approaches it, or from operating its business generally.
11. Limitation of liability
Except for garment liability, and for our respective wilful or negligent acts, or liability that cannot lawfully be limited, neither party is liable to the other for indirect or consequential loss. Subject to that, Washermann's aggregate liability to the Vendor is limited to unpaid verified earnings owed.
12. Governing law
This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes will first follow the escalation path in the Refund, Cancellation & Dispute Policy. Unresolved disputes will be referred to arbitration under the Arbitration and Mediation Act 2023, seated in Lagos, Nigeria, before a sole arbitrator.
13. Acceptance
By tapping "I agree" at onboarding (recorded with a timestamp), the Vendor accepts this Agreement.
